I need to come out this problem i get the notice

(1) We write with reference to the Agreement under the terms of which you have been operating in the area of BAYYARAM to re-transmit NXTDIGITAL Ltd.'s ("NDL") cable television signals (Signal) to the subscribers, in respect of which, NDL been raising invoices upon you. (2) Kindly note that in due course of business, and upon your requisition, NDL had supplied you 107 (One Hundred and Seven) Set Top Boxes ("STB") which were activated on your network at the subscriber's premise for receiving NDL's cable television Signals. (3) The said STBs were supplied to you, on your request and only with the right to use. It has come to our knowledge that since 2022, there is a decline in total number of active STBS on your network for which Signals are being supplied by NDL. As on date, about 107 (One Hundred and Seven) STBS have been issued, in your network. (4) It is significant to mention here that NDL has made substantial financial investments in such STBS and its allied equipment's, and it will suffe substantial and irreparable financial losses in case such STBs are not r activated/not returned. 5) In discharge of its obligation under the aforesaid Agreement, NDL has invested more than Rs. 155150/-(Rupees One Lac Fifty Five Thousand and One Hundred Fifty Only) excluding other expenses incurred from time to time, on allied equipment etc. (6) Please take note that in the event of act of swapping of STBs, committed by you, in past or in future, would amount to the breach of the terms of the Agreement, and NDL would be entitled to initiate appropriate legal action against you, to recover, inter alia, financial losses. (7) Furthermore, in case you wish revive your business by reactivating STBs and by retaining active subscribers or you wish to return the STBs or you wish to return the STBS, you are requested to contact our regional office to avail special schemes etc, for the same. (8) In view of the aforesaid facts, and as a trusted business partner, we seek a written clarification within 7 (seven) days of receipt of this Notice, vis-a-vis (a) decline of STB numbers; (b) reconcile the books of accounts and (c) what assistance NDL can provide, to revive the business and reactivate STBs.
