Consultation on non disclosure agreement

Covenant of Non Competition and Non Solicitation: Employee/ConsuItant agrees that for the duration of the Arrangement and for a period of three (3) years following the expiry or termination of the Arrangement, employee/consultant shall not, within the Prescribed Area, either directly or indirectly, either as principal or agent, or as director, manager, employee, shareholder, partner, lender or otherwise, carry on or be engaged or concerned or interested in or advise or lend money to or permit their name to be used by a business similar to or competitive with the business carried on by COMPANY . Employee/Consultant also agrees that for the duration of the Arrangement and for a period of three (3) years following the expiry or termination of the Arrangement: Employee/ConsuItant shall not, either directly or indirectly, solicit or accept on its own behalf or on behalf of any other person, firm or business entity, any business in the Prescribed Area from clients or suppliers of COMPANY ; Employee/Consultant shall not solicit or entice, or attempt to solicit or entice, any of the employees of COMPANY to enter into employment or service with other companies or any other person, firm or corporation.
