How to stop the functioning & take out my capital from Private Limited Company.

We have 2 Private Limited Company both with same 2 share holders with 50:50 split and also both are Directors in both the company as well, My partner / other director is not doing any other work for past 2 years... I’m the only one that's bringing business & looking after entire operations, he only comes 1 hour in a week to sign cheques / he is doing a parallel business where he is involved ... I have tried to convince him to separate cordially but he is now bullying me and hold me to ransom, he is asking for a real-estate that we hold in our wives name which we bought in good times be fully transferred to his name only then he will separate else i will have to continue as it is and keep sharing profits half with him for all the business I bring... I’ve tried to convince him to put real-estate to sale and we can divide the proceeds when sold... but he is not ready to agree... please suggest a solution how can I stall all the operations and make him agree to neutral terms with losing my asset
