what are terms and conditions of agreement . ? if you are giving him rights to sell your product in a given area and terms are reduced in writing mentioning period , his responsibilities for sales of your product , your obligations under contract for confirming orders and making delivery of the products he would be your agent .

If the right to sell the products has been given under an agreement and he acts on your instructions then he will be your agent.
